SCRUBgpt – Terms of Use

These Terms of Use (“Terms”) form a legally binding agreement between you (“User,” “you,” or “End-User”) and The CoBuilders LLC, doing business as SCRUBgpt (“SCRUBgpt,” “we,” “us,” or “our”). By accessing or using the SCRUBgpt platform, website, mobile application, APIs, or related services (collectively, the “Services” or “Licensed Application”), you agree to these Terms and our Privacy Policy.

If you do not agree, you may not use the Services.

1. ABOUT SCRUBgpt

SCRUBgpt is an AI-powered platform designed to support cleaners, contractors, blue-collar professionals, consumers, and business users with operational and business tasks, including but not limited to:

• Content generation
• Pricing assistance
• Messaging and communications
• Scheduling and reminders
• Lead generation
• Proposal creation
• Supply ordering
• Business insights
• Multimedia processing (image, audio, video)
• Task automation via APIs or orchestration frameworks

SCRUBgpt may use third-party infrastructure or AI models (e.g., cloud providers, LLM vendors) to deliver functionality.

2. ELIGIBILITY

You may use SCRUBgpt only if you:

• Are at least 16 years old
• Are legally able to enter contracts
• Are not prohibited from using the Services under applicable law
• Provide accurate information
• Comply with all applicable laws and regulations

Commercial use is permitted.

3. ACCOUNT REGISTRATION

You are responsible for:

• Maintaining the confidentiality of your credentials
• All activity occurring under your account
• Promptly notifying us of unauthorized access

4. LICENSE TO USE THE SERVICES

SCRUBgpt grants you a limited, non-exclusive, non-transferable, revocable license to use the Services solely in accordance with these Terms.

All rights not expressly granted are reserved by SCRUBgpt.

5. AI-GENERATED CONTENT & AUTOMATION DISCLAIMERS

SCRUBgpt may generate text, images, pricing suggestions, workflows, insights, or automation.

5.1 No Professional Advice

SCRUBgpt does not provide legal, tax, financial, compliance, medical, or guaranteed pricing advice.

5.2 User Responsibility

You acknowledge:

• AI output may be inaccurate or incomplete
• You are solely responsible for verifying outputs
• You assume all risk from reliance on generated content

6. USER CONTENT

You retain ownership of your User Content.

By submitting content, you grant SCRUBgpt a worldwide, royalty-free, non-exclusive license to process, store, secure, and improve the Services.

7. ACCEPTABLE USE

You may not misuse the Services, including by:

• Reverse engineering
• Scraping without authorization
• Violating laws or third-party rights
• Generating illegal or harmful content

8. THIRD-PARTY SERVICES

SCRUBgpt may integrate with third-party platforms. You agree to comply with all applicable third-party terms when using the Services. SCRUBgpt is not responsible for third-party systems, pricing, or performance.

9. PARTNER & MARKETPLACE DISCLOSURE

9.1 SCRUBgpt Partners, Suppliers, and Marketplace Listings

SCRUBgpt may display products, services, suppliers, retailers, contractors, and other third-party providers (“Suppliers”) within the platform through tools such as Shopper Sam, recommendations, procurement tools, or other marketplace features.

Some Suppliers available through SCRUBgpt may participate in partnership, referral, affiliate, preferred vendor, or promotional programs with SCRUBgpt (“SCRUBgpt Partners”).

9.2 Partner Relationships

SCRUBgpt may have commercial relationships with certain Suppliers, including but not limited to:

• Referral agreements
• Affiliate programs
• Preferred partner programs
• Contract pricing arrangements
• Promotional agreements
• Revenue-sharing agreements
• Wholesale or distribution relationships

SCRUBgpt may receive compensation, referral fees, commissions, discounts, or other benefits when users purchase products or services from certain Suppliers.

9.3 Product Listings and Ranking

Products, services, and Suppliers displayed within SCRUBgpt may be ranked, recommended, or labeled based on a variety of factors, which may include:

• Price
• Availability
• Delivery speed
• Product relevance
• User preferences
• Supplier reliability
• Popularity or usage by other users
• Business pricing availability
• Bulk discounts or contract pricing
• Supplier location
• Inventory levels
• Partner or preferred supplier status
• SCRUBgpt platform integrations
• Referral or commercial relationships

SCRUBgpt does not guarantee that products or services displayed are the lowest price available in the market unless explicitly stated.

Labels such as “Preferred Partner,” “Exclusive Deal,” “Offers Business Pricing,” “Best Price,” “Fast Delivery,” “Popular With Pros,” “SCRUBgpt Recommended,” or similar designations are informational labels intended to help users evaluate options and may reflect business relationships, pricing structures, logistics advantages, platform integrations, or purchasing trends.

9.4 No Obligation to Display All Suppliers

SCRUBgpt is not a neutral marketplace and does not guarantee that all available suppliers, retailers, contractors, or service providers will be displayed on the platform. SCRUBgpt reserves the right to prioritize, feature, recommend, or promote certain Suppliers, products, or services at its discretion.

9.5 Purchases and Third-Party Transactions

When users purchase products or services from a Supplier through SCRUBgpt, the transaction may be completed:

• Directly with the Supplier,
• Through a third-party retailer,
• Through a partner platform,
• Through SCRUBgpt procurement tools,
• Or through external websites.

SCRUBgpt is not the manufacturer, distributor, retailer, or service provider for third-party products and services unless explicitly stated. Responsibility for product quality, delivery, warranties, returns, service performance, and fulfillment lies with the Supplier.

9.6 Business Pricing and Discounts

Some Suppliers displayed on SCRUBgpt may offer business pricing, contract pricing, bulk discounts, government pricing, tax-exempt purchasing, or account-based pricing. Availability of such pricing may depend on order volume, business verification, location, account status, or supplier policies.

SCRUBgpt does not guarantee eligibility for business pricing unless confirmed by the Supplier.

9.7 Changes to Partner Relationships

SCRUBgpt reserves the right to add, remove, prioritize, deprioritize, or change relationships with Suppliers, partners, retailers, or service providers at any time without notice.

10. SUBSCRIPTIONS & BILLING

Paid features may auto-renew unless canceled.

Refunds are provided only where required by law or applicable platform policies (including Apple’s).

11. PRIVACY & DATA SECURITY

Your use is governed by our Privacy Policy. While we use industry-standard safeguards, no system is perfectly secure.

12. INTELLECTUAL PROPERTY

SCRUBgpt owns all platform IP, including software, AI agents, workflows, branding, and architecture.

13. TERMINATION

We may suspend or terminate access for violations, security concerns, or non-payment. Upon termination, your license ends.

14. DISCLAIMERS

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15. LIMITATION OF LIABILITY

To the maximum extent permitted by law, SCRUBgpt shall not be liable for indirect, incidental, consequential, or punitive damages. Our total liability is limited to amounts paid by you in the prior 12 months.

16. INDEMNIFICATION

You agree to indemnify and hold SCRUBgpt harmless from claims arising from your use, content, or violations of law.

17. GOVERNING LAW & VENUE

These Terms are governed by the laws of the State of Texas. Venue lies exclusively in courts located in Fort Worth, Texas.

18. MODIFICATIONS

We may update these Terms at any time. Continued use constitutes acceptance.

19. APPLE-SPECIFIC END-USER LICENSE TERMS

(Applies only if you access SCRUBgpt via Apple-branded devices or the Apple App Store)

19.1 Acknowledgement

You acknowledge that this EULA is between you and The CoBuilders LLC only, and not with Apple Inc. Apple is not responsible for the Licensed Application or its content.

19.2 Scope of License

The license granted is limited to a non-transferable license to use the Licensed Application on Apple-branded products you own or control, as permitted by Apple Media Services Terms and Conditions, including Family Sharing or volume purchasing where applicable.

19.3 Maintenance & Support

SCRUBgpt, not Apple, is solely responsible for maintenance and support. Apple has no obligation to provide support services.

19.4 Warranty

SCRUBgpt is solely responsible for warranties, to the extent not disclaimed. If the Licensed Application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). Apple has no other warranty obligations.

19.5 Product Claims

SCRUBgpt, not Apple, is responsible for addressing claims related to:

• Product liability
• Legal or regulatory compliance
• Consumer protection, privacy, or similar laws

19.6 Intellectual Property Claims

SCRUBgpt is solely responsible for the investigation, defense, settlement, and discharge of any third-party intellectual property infringement claims.

19.7 Legal Compliance

You represent and warrant that:

• You are not located in a U.S. embargoed country
• You are not listed on a U.S. prohibited or restricted party list
